Data processing agreement
This English text is provided for convenience. The Japanese version is legally authoritative. 個人データ処理に関する覚書
In brief
- You are the controller; we provide technical recording and editing only.
- Processing matches your quote and our terms and conditions.
- Project files are deleted 12 months after final delivery.
- Subprocessors such as さくらインターネット株式会社 are listed in our privacy policy.
1. Application and definitions
This agreement applies when 合同会社valvularcloudco (“processor”) handles personal data about individuals you designate—podcast guests, narrators, musicians—while delivering podcast production, voice recording, rehearsal recording, or other studio services on your instructions (“controller”).
“Personal data” means data defined under APPI, including audio that identifies a person, names, contact details, schedules, and production notes. You must obtain lawful grounds, notices, and consents before sharing data with us.
2. Roles
You decide purposes, privacy notices, consents, and primary responses to data-subject requests. We perform technical steps within your written or emailed instructions: capture, edit, mix, master, store, and deliver files to destinations you specify.
Distribution and rights remain yours. See podcast rights and usage and Terms, Article 10. We will not publish or reuse recordings beyond your directions.
3. Processing activities and term
Typical activities:
- Microphone capture, monitoring, take management in our Tokyo rooms
- Noise cleanup, level work, mixing, mastering
- Exports in agreed formats and delivery to your chosen channels
- Disaster-recovery backups for 12 months (Terms, Article 8)
Processing runs from project start until 12 months after final delivery unless we sign an extended archive quote (for example work priced near ¥8,800 per hour for extra handling).
4. Security
We apply the measures in Privacy policy, Article 8 to entrusted data. Access is limited to 森田 健司 and assigned engineers. External drives are encrypted or locked. You may ask us to revoke password links after delivery.
If an incident occurs, we notify you promptly and cooperate on reports to the Personal Information Protection Commission or notices to individuals when APPI requires them.
5. Subprocessing
We may subprocess hosting (さくらインターネット株式会社), mail forwarding, or backups. Subprocessors match Privacy policy, Article 6 and are bound by contract. Tell us before signing if a specific subprocessor is unacceptable; we may offer alternatives or decline the project if technically impossible.
6. Data-subject requests
If someone contacts us directly, we forward the request to you and act on your instructions. We do not disclose your confidential business information without approval. Coordinate deadlines through our contact channels.
7. End of processing
When processing ends or you instruct deletion, we remove copies after the 12-month archive unless you request earlier return on encrypted media or download links. Return costs follow the quote. Our copies are then deleted.
8. Governing law and changes
This agreement is governed by Japanese law. If it conflicts with the terms or a signed project contract, the project terms prevail. Updates publish on https://valvularcloudco.digital with effective date 19 October 2026 and apply to new engagements; ongoing projects keep the version agreed at kick-off unless we mutually amend.
